Welcome to Nordest Supply! The terms "we," "us," and "our" refer to Nordest Supply. Nordest Supply operates this store and website, including all related information, content, features, tools, products and services, in order to provide you, the customer, with a curated shopping experience (the "Services"). Nordest Supply is powered by Shopify, which enables us to provide the Services to you.

The below terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms"), describe your rights and responsibilities when you use the Services.

Please read these Terms of Service carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers and limitations of liability.

By visiting, interacting with, or using our Services, you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree, you should not use or access our Services.

Section 1 – Access and Account

By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence, and that you have given consent for any minor dependents to use the Services on devices you own, purchase, or manage.

To use the Services, including browsing our online store or purchasing products, you may be asked to provide information such as your email address, billing, payment, and shipping information. You represent and warrant that all information you provide is correct, current, and complete, and that you have all rights necessary to provide it.

You are solely responsible for maintaining the security of your account credentials and for all activity on your account. You may not transfer, sell, assign, or license your account to any other person.

Section 2 – Our Products

We've made every effort to provide an accurate representation of our products in our online store. Colors or product appearance may differ from what you see on screen depending on your device and its settings. We do not warrant that the appearance or quality of purchased products will meet your expectations or match how they're depicted in our store.

Product descriptions are subject to change at any time without notice, at our sole discretion. We reserve the right to discontinue any product at any time and to limit quantities offered to any person, region, or jurisdiction.

Section 3 – Orders

Placing an order is an offer to purchase. Nordest Supply reserves the right to accept or decline your order for any reason, at our discretion. Your order isn't accepted until we confirm acceptance, and payment must be received and processed first. Please review your order carefully before submitting, we may be unable to accommodate cancellation requests after an order is accepted. If we decline, change, or cancel an order, we'll attempt to notify you via the email, billing address, and/or phone number provided at checkout.

Your purchases are subject to return or exchange solely in accordance with our Refund Policy.

You represent and warrant that your purchases are for personal or household use, not for commercial resale or export.

Section 4 – Prices and Billing

Prices, discounts, and promotions are subject to change without notice. The price charged is the price in effect at the time your order is placed, as shown in your order confirmation email. Unless stated otherwise, posted prices exclude taxes, shipping, handling, customs, or import charges.

Prices in our online store may differ from prices at physical retail locations or third-party stores. Promotions are governed by their own terms; where those conflict with these Terms, the promotion terms govern.

You agree to provide current, complete, and accurate purchase, payment, and account information, and to promptly update it (email, card numbers/expiration, etc.) so we can complete transactions and reach you as needed.

You represent and warrant that: (i) the payment information you provide is true, correct, and complete; (ii) you're authorized to use the payment method; (iii) charges you incur will be honored by your card issuer; and (iv) you'll pay all charges at posted prices, including shipping/handling and applicable taxes.

Section 5 – Shipping and Delivery

We are not liable for shipping and delivery delays. All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, or events outside our control. Once we transfer products to the carrier, title and risk of loss passes to you. Section 6 – Intellectual Property

Our Services, including trademarks, brands, text, displays, images, graphics, product reviews, video, and audio, and their design, selection, and arrangement, are owned by Nordest Supply, its affiliates, or licensors, and are protected by Canadian and foreign copyright, trademark, and other intellectual property laws.

These Terms permit personal, non-commercial use of the Services only. You must not reproduce, distribute, modify, create derivative works from, publicly display or perform, republish, download, store, or transmit any material on the Services without our prior written consent. Nothing in these Terms grants you a license or other rights under any Nordest Supply, Shopify, or third-party patent, trademark, copyright, or other intellectual property, except as expressly stated. Unauthorized use may violate applicable intellectual property laws. All rights not expressly granted are reserved by Nordest Supply.

Nordest Supply's names, logos, product/service names, designs, and slogans are our trademarks (or those of our affiliates/licensors), you must not use them without our prior written permission. Shopify's name, logo, and related marks are trademarks of Shopify. All other names, logos, and marks on the Services belong to their respective owners.

Section 7 – Optional Tools

We may provide access to customer tools offered by third parties, which we neither monitor nor control. Such tools are provided "as is" and "as available," without warranties, representations, or endorsement of any kind. We have no liability arising from your use of optional third-party tools. Use of such tools is entirely at your own risk, review the relevant third-party's own terms before using them.

We may offer new features through the Services in the future; these become part of the Services and are subject to these Terms.

Section 8 – Third-Party Links

The Services may contain links to third-party websites or platforms (including embedded third-party functionality). We don't examine or evaluate the accuracy of third-party content, and accessing it is at your own risk. We're not liable for harm related to your access to, or purchases/use of, third-party sites, products, or services. Review third-party policies carefully before transacting, and direct any complaints about third-party products/services to that third party.

Section 9 – Relationship with Shopify

Nordest Supply is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Nordest Supply. By using the Services, you acknowledge that Shopify is not responsible for any aspect of sales between you and Nordest Supply, including any injury, damage, or loss resulting from purchased products or services. You release Shopify and its affiliates from all claims, damages, and liabilities arising from your purchases and transactions with Nordest Supply.

Section 10 – Privacy Policy

All personal information collected through the Services is subject to our Privacy Policy, and certain personal information may also be subject to Shopify's Privacy Policy. By using the Services, you acknowledge that you've read both.

Because the Services are hosted by Shopify, Shopify collects and processes personal information about your access to and use of the Services. Information you submit will be transmitted to and shared with Shopify and third parties that may be located in other countries. Section 11 – Feedback

If you submit any ideas, suggestions, feedback, reviews, proposals, or other content ("Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display it for any purpose, including commercial use, for example, to operate, evaluate, and improve the Services.

You represent and warrant that: (i) you own or have all rights to your Feedback; (ii) you've disclosed any compensation received in connection with it; and (iii) it complies with these Terms. We have no obligation to keep Feedback confidential, compensate you for it, or respond to it.

We may (but aren't obligated to) monitor, edit, or remove Feedback we determine to be unlawful, offensive, threatening, defamatory, obscene, or otherwise objectionable, or that violates any party's rights or these Terms.

You agree your Feedback won't violate any third party's rights (copyright, trademark, privacy, etc.), won't be unlawful, abusive, or obscene, and won't contain viruses or malware. You may not use a false email address or otherwise mislead us as to the origin of your Feedback. You're solely responsible for your Feedback and its accuracy, and we assume no liability for Feedback posted by you or any third party.

Section 12 – Errors, Inaccuracies, and Omissions

Information on the Services may occasionally contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, shipping charges, transit times, or availability. We reserve the right to correct such errors and to change, update, or cancel orders based on inaccurate information at any time without prior notice, including after you've submitted an order.

Section 13 – Prohibited Uses

You may access and use the Services for lawful purposes only. You may not use the Services to: (a) engage in unlawful or malicious activity; (b) violate applicable laws or regulations; (c) infringe our or others' intellectual property; (d) harass, abuse, or harm any person; (e) transmit false or misleading information; (f) send or use material that doesn't comply with these Terms; (g) impersonate any person or entity; or (h) restrict or inhibit others' use or enjoyment of the Services, or expose us or others to liability.

You also agree not to: (a) upload viruses or malicious code; (b) reproduce, duplicate, extract, sell, or exploit any portion of the Services; (c) collect or track others' personal information; (d) spam, phish, pharm, or pretext the Services; (e) use bots, scrapers, data-gathering tools, or AI/agentic tools to access the Services without authorization; or (f) bypass or interfere with security or access-control measures. We reserve the right to suspend, disable, or terminate your account at any time, without notice, for violations of these Terms.

Section 14 – Agents

This section applies if you use, allow, or cause the deployment of an "Agent", any software that takes autonomous or semi-autonomous action on behalf of a person or entity without direct supervision, to access or interact with the Services.

No Agent may access or use the Services unless it: (i) identifies itself as an Agent in the user agent string of all HTTP/HTTPS requests (e.g., "Agent/[agent name]"); (ii) does not conceal that it is an Agent, including by mimicking human behavior or bypassing CAPTCHAs; (iii) responds truthfully to any prompt asking whether it's a human or a computer; and (iv) does not circumvent any measure we use to control Agent access. We may also request that a specific Agent refrain from accessing the Services, and may limit or block Agent access through technical measures.

Section 15 – Termination

We may terminate this agreement or your access to the Services, in whole or in part, at our sole discretion, at any time, without notice. You remain liable for all amounts due up to and including the date of termination.

The following sections survive termination: Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Severability, Waiver, Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive.

Section 16 – Disclaimer of Warranties

Information on the Services is provided for general information purposes only. We do not warrant its accuracy, completeness, or usefulness, and any reliance on it is at your own risk. We disclaim all liability arising from such reliance.

Except as expressly stated by Nordest Supply, the Services and all products offered through them are provided "as is" and "as available," without any representations, warranties, or conditions of any kind, express or implied, including implied warranties of merchantability, merchantable quality, fitness for a particular purpose, durability, title, and non-infringement. We do not guarantee that your use of the Services will be uninterrupted, timely, secure, or error-free. Some jurisdictions don't allow these exclusions, so they may not apply to you.

Section 17 – Limitation of Liability

To the fullest extent permitted by law, Nordest Supply, our partners, directors, officers, employees, affiliates, agents, contractors, service providers, or licensors, or those of Shopify and its affiliates, will not be liable for any injury, loss, claim, or direct, indirect, incidental, punitive, special, or consequential damages of any kind (including lost profits, revenue, savings, or data), whether based in contract, tort (including negligence), strict liability, or otherwise, arising from your use of the Services or any products procured through them, even if advised of the possibility of such damages.

Section 18 – Indemnification

You agree to indemnify, defend, and hold harmless Nordest Supply, Shopify, and our respective affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities, or claims (including reasonable legal fees) arising from: (1) your breach of these Terms; (2) your violation of any law or third-party right; or (3) your access to or use of the Services.

We'll notify you of any indemnifiable claim (delayed notice won't relieve your obligations unless it materially prejudices you). We may control the defense and settlement of a claim at your expense, but won't settle in a way requiring non-monetary obligations from you without your consent. You agree to cooperate in the defense, including by providing relevant documents.

Section 19 – Severability

If any provision of these Terms is found unlawful, void, or unenforceable, it will be enforced to the fullest extent permitted by law, and the unenforceable portion will be severed, without affecting the validity of the remaining provisions.

Section 20 – Waiver; Entire Agreement

Our failure to exercise or enforce any right or provision doesn't constitute a waiver of it.

These Terms, together with any policies or operating rules we post, constitute the entire agreement between you and us regarding the Services, superseding any prior agreements or communications (including earlier versions of these Terms). Ambiguities won't be construed against the drafting party.

Section 21 – Assignment

You may not delegate, transfer, or assign this agreement or your rights/obligations under it without our prior written consent, any such attempt is null and void. We may transfer, assign, or delegate these Terms and our rights/obligations without your consent or notice.

Section 22 – Governing Law

These Terms are governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein. You and Nordest Supply consent to the exclusive jurisdiction and venue of the courts located in British Columbia, Canada.

Section 23 – Headings

Headings in this agreement are included for convenience only and don't limit or affect these Terms.

Section 24 – Changes to These Terms

You can review the most current version of these Terms at any time on this page. We reserve the right to update, change, or replace any part of these Terms by posting updates to our website. It's your responsibility to check periodically for changes. We'll notify you of material changes as required by applicable law. Your continued use of the Services after changes are posted constitutes acceptance of those changes.
